Board of Directors - The company's "cabinet" - as specified in the Articles of Association - is supposed to make decisions on the issues that are too specific for the general meeting to discuss but which are beyond the day-to-day responsibility of the company management. They appoint officers, and they are elected by the shareholders of the corporation. Board members owe the corporation duties of ordinary care, good faith, and loyalty.
